Acceptance of Vessel

Pursuant to the Purchase and Sale Agreement (the "Agreement") executed on or about February 9, 2026, the undersigned Buyer(s) hereby unconditionally accept the Vessel described above.

By executing this Acceptance of Vessel, Buyer(s) formally acknowledge, warrant, and agree to the following conditions:

• "AS-IS, WHERE-IS" Condition: Buyer(s) accept the Vessel, including all gear, machinery, equipment, and Additional Units, in its current "AS-IS, WHERE-IS" condition, with all faults and defects, whether apparent or latent.
• Waiver of Contingencies: Buyer(s) have either successfully completed a marine survey and sea trial of the Vessel to their full satisfaction, or have voluntarily elected to waive their right to do so. All inspection contingencies set forth in the Agreement are hereby considered fulfilled, satisfied, or expressly waived.
• No Warranties: Neither the Seller(s) nor the acting Broker(s) have made any warranties, express or implied, regarding the condition, seaworthiness, merchantability, or fitness of the Vessel for any particular purpose. Buyer(s) are not relying on any prior advertisements, oral statements, or written representations outside of this written Agreement.
• Commitment to Close: Buyer(s) agree to proceed to final closing, accept formal delivery of the Vessel, and remit the remaining balance of the Purchase Price as stipulated in the Agreement.

Default: Should the Buyer(s) fail or refuse to close the transaction after executing this Acceptance, the Escrow Agent is irrevocably authorized and instructed to disburse the earnest money deposit to the Seller(s) and Broker(s) as liquidated damages, in accordance with the terms of the Agreement, releasing all parties from further obligations.
